Terms of Service

These terms govern access to the Satoris AI Client Portal and explain how project approval, payment, content, security, and service responsibilities work.

1. Agreement and authority

These Terms of Service (“Terms”) govern access to and use of the Satoris AI Client Portal and related services provided by Satoris AI LLC that link to these Terms (the “Services”). By creating an account, accepting an invitation, or using the Services, you agree to these Terms and the Privacy Policy.

You represent that you are at least 18 years old and authorized to accept these Terms for yourself and, when applicable, the organization you represent. If you do not agree, do not use the Services.

2. Relationship to service agreements

Projects, coaching, subscriptions, retainers, and other paid services may also be governed by a signed proposal, statement of work, order form, or service agreement (“Service Agreement”). If a Service Agreement conflicts with these Terms, the Service Agreement controls for that engagement. These Terms control use of the Portal where the Service Agreement is silent.

3. Accounts and authorized users

  • Provide accurate account information and keep it current.
  • Keep credentials confidential, use only your own account, and notify Satoris AI promptly of suspected unauthorized access.
  • Invite only users authorized by your organization and promptly remove access that is no longer needed.
  • You are responsible for activity under your account and for your authorized users' compliance with these Terms.

4. Projects, estimates, approval, and billing

Submitting a project or task is a request for scoping and is not approval to begin billable project work. Satoris AI may ask questions and then provide an estimate, scope, delivery window, or other commercial terms for review.

Satoris AI will not charge for or begin a submitted project until an authorized client user affirmatively approves the applicable estimate or scope, except for a separately disclosed setup fee, coaching subscription, retainer, or other Service Agreement charge. Approval is an electronic authorization to proceed and, when shown at approval, to charge the saved payment method.

Estimates may change if the scope, assumptions, dependencies, or requested delivery change. Satoris AI will present a material change for client approval before charging for the changed scope. Taxes, third-party costs, and recurring services are handled as disclosed in the applicable estimate or Service Agreement.

5. Cancellations, refunds, and payment issues

Cancellation and refund rights are governed by the applicable Service Agreement or approved estimate. Unless that agreement says otherwise, completed work and work already performed against an approved scope are non-refundable. If a payment fails, Satoris AI may pause work or access until payment is resolved. Contact contact@satoris.ai promptly to dispute a charge or request a scope change.

6. Client content and systems

You retain ownership of information, materials, files, messages, trademarks, and other content you submit (“Client Content”). You grant Satoris AI LLC a limited license to host, copy, modify, transmit, and use Client Content only as needed to provide, secure, support, and improve the contracted Services.

You represent that you have the rights and permissions needed to provide Client Content, credentials, recordings, and personal information. Do not submit illegal content, malicious code, regulated information, or third-party secrets unless the applicable Service Agreement expressly covers that data and appropriate safeguards are in place.

7. Deliverables and Satoris AI materials

Ownership and license terms for custom deliverables are set by the applicable Service Agreement. Unless it says otherwise, ownership of a paid custom deliverable transfers to the client after full payment, excluding Satoris AI pre-existing tools, templates, know-how, systems, reusable code, models, and third-party materials. Satoris AI LLC retains those underlying materials and grants the client the license reasonably required to use the paid deliverable.

8. AI-assisted services

The Services may use artificial intelligence to create, summarize, organize, retrieve, or suggest content. AI output may be incomplete, inaccurate, or unsuitable. You are responsible for reviewing outputs and for decisions or external use based on them. AI features do not provide legal, medical, financial, accounting, or other regulated professional advice.

9. Acceptable use

  • Do not access another client workspace or attempt to bypass authentication, authorization, rate limits, or security controls.
  • Do not reverse engineer, disrupt, overload, scan, or introduce malware into the Services except to the limited extent a right cannot legally be restricted.
  • Do not use the Services to violate law, infringe rights, impersonate others, distribute harmful content, or train or benchmark a competing service without written permission.
  • Do not share credential secrets through ordinary messages when the Systems & Credentials workflow is available.

10. Third-party services

The Services may connect to or embed third-party services, including authentication, payment, scheduling, hosting, communication, and client-selected systems. Third-party services are governed by their own terms and policies. Satoris AI is not responsible for a third party's independent service, availability, or changes, but remains responsible for its own contractual obligations regarding selected service providers.

11. Confidentiality

Each party will use reasonable care to protect non-public information received from the other and will use it only for the relationship, except where disclosure is authorized or legally required. This section does not replace any stronger confidentiality term in a Service Agreement or nondisclosure agreement.

12. Availability, changes, and support

Satoris AI may update the Services, add or remove features, perform maintenance, or suspend access to address security, legal, payment, or operational issues. We will use reasonable efforts to avoid material disruption and provide notice when practical. Beta or preview features may change or end without notice.

13. Disclaimers

To the maximum extent permitted by law, the Portal and any beta features are provided “as is” and “as available.” Satoris AI LLC disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Any express warranty in a Service Agreement remains in effect.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or goodwill, arising from the Services. Satoris AI LLC's aggregate liability relating to the Services will not exceed the amount paid to Satoris AI LLC for the affected service during the six months before the event giving rise to the claim. These limits do not apply where prohibited by law or to payment obligations, fraud, willful misconduct, or misuse of the other party's intellectual property or confidential information.

15. Suspension and termination

You may stop using the Portal at any time, subject to obligations in an active Service Agreement. Satoris AI may suspend or terminate access for a material breach, security risk, illegal use, nonpayment, or when the client relationship ends. Sections that by their nature should survive will survive, including payment, ownership, confidentiality, disclaimers, liability limits, and dispute terms.

16. Governing law and disputes

Unless a Service Agreement specifies otherwise, these Terms are governed by Colorado law without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve a dispute informally. If that fails, state and federal courts located in Colorado will have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any court with jurisdiction.

17. General terms

You may not assign these Terms without Satoris AI LLC's written consent, except in connection with a merger or sale of substantially all relevant assets. Satoris AI LLC may assign them as part of a reorganization, financing, merger, or sale. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. These Terms and applicable Service Agreements are the entire agreement on their subject matter.

18. Changes and contact

Satoris AI may update these Terms. Material changes will be posted with a revised effective date and additional notice when required. Continued use after the effective date constitutes acceptance to the extent permitted by law.
